Law firm Hamburger Evron & Co. represents a large number of companies, including from the most prominent groups and conglomerates in Israel, providing them with legal advice throughout the life cycle of the corporation. We advise the corporation from its inception, through partnerships and joint ventures, via ongoing and daily counsel on all corporate affairs (including labor law) and through to its sale or public offering.

The Corporate and M&A Department, led by Amnon Sorek and Yaron Sobol, represents corporations and investors in private placements, share purchase transactions, bonds transactions, M&As, restructurings, and acquisitions and sales of businesses. The team also engages in shareholder disputes, antitrust cases, derivative lawsuits, and class actions.

The field of corporations and transactions is both complex and interesting, combining the maximization of the advantages of the represented company, and use of the client’s position. Legal representation in the world of corporations does not only deal with the present. The Department’s attorneys are in fact entrusted with introducing forward-looking mechanisms to protect the client’s interests into the future.

All the legal advice we provide to the firm’s clients goes into the greatest detail and touches on all aspects of the corporation – from building a legal foundation to support the company’s strategic processes down to the smallest possible nuances. Counsel to the client includes, among others, drafting of share purchase agreements and shareholder agreements, due diligence investigations, planning of employee stock option programs, and more.

Our firm has particular expertise in corporate governance, which bears directly on the corporation’s internal conduct. The corporation must conduct itself in compliance with the requirements of the law, of audit committees and board committees. It must make decisions wisely and in accordance with the regulation, and address issues pertaining to the core of the corporation, including transactions with interested parties and controlling shareholders.
