The Capital Markets, Securities and VC Department at Hamburger Evron & Co., headed by Adv. Achai Gomeh, provides legal services to companies issuing securities and bonds to the public, financial intermediaries (broker-dealers and others) and institutional investors active in Israel’s capital market, as well as to venture capital funds and high-tech companies. In each context, the Department’s team engages in the following areas:

Securities – ongoing legal representation of companies that have issued (or consider issuing) shares and bonds to the public, including representing them vis-à-vis regulatory authorities, underwriters, investors and shareholders, advising on controlling shareholder transactions and more. The services cover preparation of prospectuses, immediate and periodic reports to the Israel Securities Authority and the Tel Aviv Stock Exchange, company secretarial services, administrative enforcement, and more.

The Capital Market – legal counseling on all areas of activity of the various financial broker-dealers and other institutional bodies operating in Israel, including asset managers, mutual fund managers, hedge funds, pension funds and provident funds, underwriters, distributors, insurance agencies and others. The Department’s practice covers all aspects of regulation, licensing, company secretarial duties, corporate governance, internal and administrative compliance, and enforcement of prohibition of money laundering regulation. In respect of insurance agencies, our legal services cover all stages of the agencies’ activity, from incorporation and obtaining the approvals, licenses and permits required for their operation and activity, via ongoing legal advice to the agencies, including in the area of corporate governance and internal compliance and all other commercial, contractual and regulatory aspects of the agency's business.

Venture Capital & High-Tech – provision of legal services to VC funds and high-tech companies, from the capital raising phase, to the daily operations of the funds and companies (including all issues related to management of the fund's investments), and through to the stage of selling the companies. Services include preparation and drafting all types of documentation required by the client – memoranda of understanding, private placement memoranda, partnership agreements, subscription agreements and complex management agreements, as required by VC funds, as well as the entire set of agreements required for investment in portfolio companies and disposition of investments (term sheets, shareholders’ agreements, share purchase agreements, etc.).
